1.Agreement
These Terms and Conditions (“Terms”) form an agreement between Nanostack Private Limited (“Nanostack”, “we”, “us”) and the hospital, clinic, laboratory or other organisation that creates an account (“Customer”, “you”).
By creating an account, starting a trial, or using the Platform, you accept these Terms on behalf of your organisation. You confirm that you are authorised to do so.
If you have signed a separate written agreement with us, that agreement prevails where it differs from these Terms.
2.Definitions
- Platform: our hospital management software, the hospital websites and portals built with it, and this website.
- Customer Data: everything you or your users enter into or upload to the Platform, including patient records.
- Users: the staff, doctors and other people you allow to use your account, and patients using your portal.
- Plan: the subscription you choose. It sets your modules, limits and fees.
3.Accounts and users
- Give accurate details when you sign up and keep them current.
- You decide who gets an account and which role they have. You are responsible for what your users do on the Platform.
- Keep passwords and two-factor devices secure. Tell us at once if you suspect unauthorised access.
- Remove access promptly when someone leaves your organisation.
4.Free trial
A trial gives you the Plan’s features free of charge for the period shown at sign-up. No card is needed.
When the trial ends, you need a paid Plan to keep adding records. Your data stays available to view and export. Trials are offered at our discretion, and we may change or withdraw them.
5.Subscription, fees and taxes
- Fees are as shown on our Pricing page or in your order, for the billing period you choose (monthly or annual).
- Prices are exclusive of GST and other applicable taxes unless stated otherwise. Taxes are charged in addition, and our invoices carry the GST details you provide.
- Payment is due in advance for each billing period.
- Fees already paid are not refundable, except where these Terms or the law say otherwise.
- Usage beyond your Plan’s limits — users, branches, storage, messages — may need an upgrade or add-on.
- We may change prices for future billing periods. We will give you reasonable notice before a change applies to you.
6.Late payment and suspension
If a payment fails or is overdue, we will notify you and allow a grace period.
If payment is still not made, your account becomes read-only: you can view and export your data, but you cannot add new records until payment is made. We do not hold patient records hostage to an invoice.
We may also suspend access immediately, if it is reasonably necessary, to stop a security threat, a serious breach of these Terms, or a legal violation.
7.Your data
- You own Customer Data. We claim no ownership of it.
- You grant us permission to host, process, back up and transmit it only as needed to provide and support the Platform for you, and as described in our Privacy Policy.
- For patient data, you are the data fiduciary and we act as your data processor.
- You can export your data in a machine-readable format at any time, including for a reasonable period after your subscription ends.
- We may use aggregated, de-identified statistics about how the Platform is used to run and improve it. They never identify you, your users or your patients.
8.Your responsibilities
You are responsible for:
- having a lawful basis, including consent where needed, to collect patient data and to send patients messages through the Platform;
- the accuracy of what your users enter;
- complying with the laws and professional rules that apply to your facility, such as clinical establishment, pharmacy, drug, laboratory and medical records rules;
- configuring roles, permissions, tax settings and integrations correctly for your organisation;
- keeping your own copies of records where the law requires you to.
9.Clinical responsibility
The Platform is a tool for recording and managing information. It does not give medical advice and does not replace professional judgement.
Clinical decisions, diagnoses, prescriptions, report approvals and the care of patients remain the responsibility of your clinicians and your organisation. Reference ranges, drug information and alerts are aids: check them before you rely on them.
10.Acceptable use
You must not, and must not let anyone else:
- access another organisation’s data, or try to get around access controls, tenant isolation or usage limits;
- probe, scan or test the Platform’s security without our written permission;
- upload malware, or use the Platform to send spam or unlawful messages;
- copy, resell, sublicense or reverse-engineer the Platform, except as the law expressly allows;
- use the Platform for anything unlawful, or to store content you have no right to store.
We may suspend access that breaks these rules.
11.Availability, support and changes
- We work to keep the Platform available and to schedule maintenance outside busy hours, but we do not promise uninterrupted service.
- The Platform needs an internet connection and does not work offline.
- Support is provided through the channels and at the level your Plan includes.
- We improve the Platform continually and may change or retire features. We will not materially reduce the core functions of a paid Plan during the period you have paid for.
12.Third-party services
Some features rely on services we do not control, such as payment gateways, SMS, email and WhatsApp providers, the ABDM gateway and insurance platforms. Their own terms apply to your use of them.
We are not responsible for their availability, their charges or their actions. Configuring a government integration (such as ABDM or NHCX) on the Platform is not an approval from that authority.
13.Live demo
The live demo is a sample hospital filled with fictional people. Do not enter real patient information into it.
It resets on a schedule, so anything entered there is temporary and may be seen by other visitors.
14.Intellectual property
We own the Platform, its software, designs and documentation, and our trade marks. You get a non-exclusive, non-transferable right to use the Platform for your organisation’s internal purposes while your subscription is active.
If you send us suggestions, we may use them without any obligation to you.
15.Confidentiality
Each of us will keep the other’s non-public information confidential and use it only for this agreement. This does not apply to information that is public, that was already known, or that has to be disclosed by law.
Customer Data is always confidential.
16.Disclaimers
Apart from the commitments in these Terms, the Platform is provided “as is” and “as available”. To the extent the law allows, we disclaim implied warranties, including warranties of merchantability, fitness for a particular purpose and non-infringement.
17.Limitation of liability
To the extent the law allows:
- neither of us is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or goodwill;
- our total liability arising out of or relating to these Terms is limited to the fees you paid us in the 12 months before the event that gave rise to the claim.
These limits do not apply to liability that cannot be limited by law, to your payment obligations, or to breaches of the acceptable use rules.
18.Indemnity
You will defend and compensate us for claims by third parties arising from Customer Data you had no right to process, from your breach of the law, or from your breach of the acceptable use rules.
19.Term and termination
- These Terms apply from your sign-up until your subscription ends.
- You may cancel at any time from your account or by writing to us. Cancellation takes effect at the end of the period you have paid for.
- We may terminate if you materially breach these Terms and do not fix the breach within 30 days of notice, or immediately for a serious breach of the acceptable use rules.
- After termination you can still export your data for a reasonable period. After that, we may delete it, as described in our Privacy Policy.
- Clauses that by their nature should continue — data, confidentiality, liability, indemnity and governing law — survive termination.
20.Changes to these Terms
We may update these Terms. The effective date at the top shows when they last changed. If a change is significant, we will notify administrators before it takes effect.
If you continue to use the Platform after the change takes effect, you accept the updated Terms. If you do not agree, you may cancel before then.
21.Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith.
Otherwise, the courts at Bhopal, Madhya Pradesh, have exclusive jurisdiction.
